1. Agreement to Terms

By accessing or using AgentAEO.com ("Service"), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

AgentAEO provides Answer Engine Optimization (AEO) monitoring and analytics services. We track brand mentions across AI-powered Answer Engines including ChatGPT, Perplexity, Claude, Gemini, and Microsoft Copilot.

3. User Accounts

3.1 Registration

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibility

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use.

3.3 Eligibility

You must be at least 18 years old and have the legal capacity to enter into this agreement.

4. Subscription Plans & Billing

4.1 Pricing

We offer multiple subscription tiers (Starter, Pro, Agency). Prices are listed on our website and may change with 30 days' notice.

4.2 Payment Terms

• Subscriptions are billed monthly or annually in advance
• Payment is processed via Razorpay or other authorized payment processors
• All fees are non-refundable except as required by law or stated in our Refund Policy

4.3 Free Trials

We may offer free trials for new users. Trial terms will be specified at signup. You will not be charged during the trial period unless you explicitly upgrade.

4.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

4.5 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

5. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal purpose or to violate any laws
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use automated scripts to collect data without permission
• Resell or redistribute the Service without written permission
• Use the Service to harass, abuse, or harm others
• Upload malicious code, viruses, or harmful content
• Impersonate any person or entity

Violation may result in immediate termination of your account.

6. Intellectual Property

6.1 Ownership

All content, features, and functionality of the Service are owned by AIMetica Solutions and protected by international copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes only.

6.3 User Data

You retain ownership of any data you input into the Service. You grant us a license to use, process, and display your data solely to provide the Service.

7. Data Collection & Privacy

Your use of the Service is also governed by our Privacy Policy, incorporated by reference into these Terms. We collect and process data as described in our Privacy Policy.

8. Third-Party Services

The Service integrates with third-party Answer Engines (ChatGPT, Perplexity, Claude, Gemini, Copilot). We are not responsible for the availability, accuracy, or content provided by these third-party services. Your use of third-party services is subject to their respective terms and policies.

9. Service Availability & Modifications

9.1 Uptime

We strive for 99.5% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

9.2 Changes

We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

10.1

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

10.2

AIMetica Solutions shall not be liable for any indirect, incidental, special, or consequential damages from:

• Your access to or use of (or inability to use) the Service
• Any conduct or content of third parties on the Service
• Unauthorized access, use, or alteration of your data
• Any other matter relating to the Service

10.3

Our total liability shall not exceed the amount you paid us in the 12 months prior to the event, or ₹10,000, whichever is less.

11. Indemnification

You agree to indemnify and hold harmless AIMetica Solutions from any claims arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Dispute Resolution & Governing Law

12.1 Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat.

12.2 Arbitration

Any dispute shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration in Ahmedabad, Gujarat.

12.3 Class Action Waiver

You agree to resolve disputes on an individual basis only, not as part of any class action.

13. Termination

13.1 By You

You may terminate your account at any time by contacting info@agentaeo.com.

13.2 By Us

We may suspend or terminate your account immediately if:

• You breach these Terms
• We are required to do so by law
• We discontinue the Service
• Your account has been inactive for 12+ months

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your account data after 30 days.
